By using our website or doing business with us, you agree to these Terms. If you do not agree, please do not use the website. Specific terms agreed in a written quotation, purchase order or contract will take priority over these Terms for that order.
2. About Our Business
IDITRI Exports manufactures and supplies memory foam products and comfort solutions to brands, retailers, distributors and bulk buyers. We offer manufacturing, wholesale, private label / white label and export services. Our website is intended for business customers; retail products are sold separately through the IDITRI Shop.
3. Use of the Website
You agree to use our website only for lawful purposes. You must not:
- Use the website in a way that breaks any law or regulation.
- Try to gain unauthorised access to the website, its servers or related systems.
- Send spam, harmful code or false information through our forms.
- Copy, scrape or reuse website content for commercial purposes without our permission.
We may suspend or restrict access to the website at any time, for example for maintenance or security reasons.
4. Product Information
We try to keep product descriptions, images and specifications on our website accurate and up to date. However, they are for general information only. Actual products may vary slightly in colour, size, density or finish because of manufacturing processes, materials and display settings.
Final specifications, materials, sizes and packaging are those confirmed in your written quotation or order confirmation.
5. Quotations and Orders
- Quotations: quotes are based on the information you provide and are valid for the period stated on the quotation. Prices may change if quantities, specifications or timelines change.
- Order confirmation: an order is accepted only when we confirm it in writing.
- Minimum order quantity: manufacturing, wholesale and private label orders may be subject to minimum order quantities, as confirmed in your quotation.
- Samples: samples may be provided on request and may be chargeable.
- Changes and cancellations: once production has started, changes or cancellations may not be possible, or may involve additional charges.
6. Pricing and Payment
Prices, currency, taxes and payment terms are those stated in your quotation or invoice. Unless agreed otherwise in writing, prices exclude applicable taxes such as GST, and any customs duties, import taxes or local charges in the destination country.
We may require an advance payment before starting production. Orders may be held or delayed until payment is received as agreed.
7. Private Label and Custom Branding
For private label and custom branding orders, you confirm that you own or have the right to use any brand names, logos, artwork and designs you provide to us, and that they do not infringe the rights of any third party.
You are responsible for approving final artwork, labels and packaging before production. We are not responsible for errors in artwork that you have approved.
8. Shipping, Delivery and Exports
Delivery timelines are estimates and may be affected by production schedules, availability of materials, logistics or events outside our control. Shipping terms, such as Incoterms for export orders, are as agreed in your quotation or order confirmation.
For export orders, the buyer is responsible for import licences, customs clearance in the destination country and any import duties or taxes, unless agreed otherwise in writing. We will provide the export documentation agreed for your order.
9. Quality, Inspection and Claims
We follow quality checks throughout production. Please inspect goods as soon as you receive them. Any claim for damaged, missing or non-conforming goods should be reported to us in writing with photos and order details within the time period stated in your order confirmation.
Where a valid claim is accepted, we may repair, replace or credit the affected goods, as agreed. Normal wear and tear, misuse or improper storage are not covered.
10. Intellectual Property
All content on this website, including text, images, graphics, logos and the IDITRI name and brand, belongs to IDITRI Exports or our licensors and is protected by intellectual property laws. You may not copy, reproduce or use it without our written permission.
11. Limitation of Liability
To the fullest extent permitted by law, IDITRI Exports is not liable for any indirect, incidental or consequential loss, including loss of profit, business or goodwill, arising from your use of our website or products.
Our total liability for any order is limited to the amount paid for the goods that are the subject of the claim, unless otherwise required by law or agreed in writing.
